Acceptance of Terms

By accessing or using Aenex ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to any part of these Terms, you may not access or use the Platform.

Eligibility

To use Aenex, you must be at least 13 years of age (or 16 in the European Economic Area). By creating an account, you confirm that you have the legal capacity to enter into binding agreements. If you are using the Platform on behalf of a legal entity, you represent that you are authorized to bind that entity.

User Accounts

When you create an account, you must provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your password and account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring that your use of the Platform complies with applicable laws

We reserve the right to refuse service, terminate accounts, or remove content at our discretion, particularly in cases of misrepresentation or violation of these Terms.

Acceptable Use

You agree not to misuse the Platform. Prohibited activities include:

• Uploading or distributing malware, viruses, or harmful code
• Sending spam, phishing messages, or unsolicited communications
• Abusing, harassing, or threatening other users
• Posting or sharing illegal, infringing, or offensive content
• Attempting to reverse engineer, decompile, or extract source code
• Interfering with the platform's security, performance, or availability
• Using automated scripts or bots to access the platform without authorization
• Violating the intellectual property rights of others

Workspace Ownership

Workspace content ownership is determined by the workspace configuration:

• Workspace owner: The person or entity that created the workspace owns the workspace and has administrative control over it.
• Members: Individual members retain ownership of their personal account information and the content they create within the workspace.
• Transfer: Workspace ownership may be transferred to another member at the discretion of the current owner or as required by applicable law.

Intellectual Property

Our IP: The Platform, including its software, design, branding, logo, and trade dress, is owned by Plannorium Technologies and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, or create derivative works without our express written permission.

Your IP: You retain full ownership of the content you create and store on the Platform. By submitting content, you grant us a limited license to store, process, and display that content solely for the purpose of providing and improving the service. This license terminates when you delete your content or account.

AI Usage

Aenex includes AI-powered features. By using these features, you acknowledge and agree that:

• AI-generated content is produced based on patterns in training data and may not be accurate, complete, or appropriate for your specific use case.
• You are solely responsible for reviewing and verifying AI-generated outputs before relying on them, particularly in professional, legal, medical, or financial contexts.
• AI outputs do not constitute legal, medical, financial, or professional advice.
• We make no guarantees regarding the correctness, reliability, or suitability of AI-generated content.
• You may not use AI features to generate content that violates these Terms or applicable law.

Subscription and Billing

Some features of the Platform require a paid subscription. The following terms apply:

• Plans: Subscription plans, pricing, and feature availability are described on our pricing page and may change with notice.
• Trials: Free trials are offered at our discretion. You may be required to provide payment information to start a trial. If you do not cancel before the trial ends, you will be charged the applicable subscription fee.
• Renewals: Subscriptions automatically renew at the end of each billing period unless cancelled.
• Cancellation: You may cancel your subscription at any time. Upon cancellation, your access to paid features continues until the end of the current billing period. No prorated refunds are provided for partial periods.
• Refunds: Refund requests are handled on a case-by-case basis. Please contact support@plannorium.com for assistance.
• Taxes: You are responsible for all applicable taxes associated with your subscription.

Service Availability

We strive to provide reliable access to the Platform, but we do not guarantee 100% uptime or uninterrupted service. Planned maintenance, emergency repairs, and factors outside our control may result in temporary downtime. We will make reasonable efforts to notify users in advance of scheduled maintenance.

Termination

We may suspend or terminate your access to the Platform immediately, without prior notice, if:

• You breach these Terms or applicable laws
• We suspect fraudulent, abusive, or illegal activity
• We are required to do so by law or regulatory authority
• You fail to pay applicable subscription fees

Upon termination, your right to access the Platform ceases immediately. We will provide a reasonable period to export your data, except in cases where retention is prohibited by law or where continued access poses a security risk.

Limitation of Liability

To the maximum extent permitted by applicable law:

• Aenex and Plannorium Technologies are provided "as is" without warranties of any kind, either express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
• Our total liability for any claim arising from these Terms or your use of the Platform is limited to the amount you have paid us in the 12 months preceding the claim.
• We are not responsible for content created or shared by users, nor for AI-generated outputs, as described in the AI Usage section.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware. For users in the European Economic Area, mandatory protections under local law remain unaffected.

Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated via email or through a notice on the Platform. Your continued use of Aenex after changes take effect constitutes acceptance of the revised Terms.
